[1] If a Party (the "Selling Party" ) intends to transfer all or part of its Shares (the "Offered Shares" ) to the benefit of a third party (the " Third Party"), such Selling Party shall first deliver to the other Party (the " Remaining Party") a prior written notice (the " Offer Notice") in which it shall:
[a] state its intention to transfer the Offered Shares; and,
[a] purchase from the Selling Party all the Offered Shares on the same terms and conditions as set forth in the Offer Notice but shall have the right to make such purchase at a mutually agreed price or at the Fair Market Price if the price set forth in the Offer Notice is higher than the Fair Market Price or absent any such mutual agreement; in any case the price shall not be less than the Fair Market Price or,
[b] send a written notice (the "Tag Along Notice") to the Selling Party requiring the Selling Party to ensure that all Shares of the Remaining Party (the "Tag Along Shares") are sold together with the Offered Shares to the Third Party on the same terms and conditions and at the price set forth in the Offer Notice.
[i] notified in writing within the said 60 (day) period its election to purchase the Offered Shares in accordance with the provisions of paragraph [2] [a] above (the "Purchase Notice"), such purchase shall be made in accordance with the provisions of Articles 31 to 34 inclusive; or
